Terms of Service

Effective Date: 1 March 2026  |  Platform: truetal.in
Please read these Terms carefully before using Truetal. By registering an account, accessing any feature, or downloading any output from the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Who We Are

Truetal is a GST compliance and business management platform operated by Truetal, registered in India. We provide software tools for invoice generation, GST-ready records, ITC reconciliation, and related compliance workflows for Indian businesses registered under the Goods and Services Tax Act, 2017.
For questions about these Terms, write to us at mail@truetal.in. We respond to legal queries within 5 business days.

2. Eligibility

You may use Truetal only if all of the following conditions are met:
  • You are at least 18 years of age.
  • You are using the platform on behalf of a business entity registered or operating in India.
  • You have the legal authority to enter into binding agreements on behalf of that entity.
  • You are not barred from receiving services under applicable Indian law.
Truetal is not designed for or directed at individuals under the age of 18. If we discover an account belongs to a minor, we will terminate it immediately.

3. Account Registration and Security

To access the platform, you must create an account with accurate, complete, and current information including your business name, GSTIN (if applicable), and email address. You are responsible for:
  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at mail@truetal.in if you discover unauthorised access.
We will never ask for your password by email, phone, or chat. If you receive such a request, treat it as fraudulent and notify us.
We reserve the right to suspend or terminate accounts that are found to be providing false registration information, engaging in abuse, or violating these Terms.

4. Permitted Use and Restrictions

Truetal is licensed, not sold. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the platform solely for your own business compliance purposes within India.
You must not:
  • Use the platform to file returns for businesses you do not have authorisation to represent, unless you are a registered Chartered Accountant (CA) or Cost and Management Accountant (CMA) acting under a valid letter of authorisation.
  • Attempt to reverse-engineer, decompile, or extract the source code of any part of the platform.
  • Use automated scripts, bots, or crawlers to access the platform.
  • Share your account credentials with persons outside your organisation.
  • Resell, sublicense, or white-label the platform or its outputs without our prior written consent.
  • Use the platform for any purpose that violates the CGST Act 2017, IGST Act 2017, or any other applicable Indian statute.

5. GST Compliance — Accuracy and Limitation

Truetal automates GST calculations, form preparation, and JSON generation based on the data you enter. Our system is maintained by professionals trained in the CGST Act 2017, CGST Rules 2017, GST Council circulars, and AAAR rulings.
However, the following limitations apply:
  • Truetal is a compliance assistance tool — not a licensed GST Suvidha Provider (GSP). JSON files generated by Truetal must be uploaded to the GSTN portal by the taxpayer or their authorised representative.
  • Accuracy of all generated documents depends entirely on the accuracy of data you enter. Garbage in, garbage out — we cannot verify data you do not provide.
  • Tax laws change. We update the platform when laws or rules change, but there may be a window between a GST Council notification and our platform update. You are responsible for checking the latest GSTN advisories for urgent changes.
  • The AI features (TruBot) provide guidance based on published GST law. They are not a substitute for advice from a registered tax professional for complex or disputed matters.
Truetal does not accept liability for penalties, interest, or notices arising from incorrect data entry by the user, late filing by the user, or GST law changes not yet reflected in the platform at the time of filing.

6. Data You Provide

By using Truetal, you grant us a limited licence to store, process, and use the data you enter (business information, invoice data, customer records, GSTIN details, financial figures) solely for the purpose of operating the platform and delivering the services you have subscribed to.
You retain full ownership of all data you enter. We do not sell, share, or use your business data for any purpose other than operating the platform. See our Privacy Policy for complete details.
You warrant that all data you enter into Truetal is data you are legally permitted to enter, store, and process — including customer GST details. You must not enter data belonging to third parties without their consent.

7. Subscription, Payment, and Cancellation

Truetal offers a free trial period during which full platform access is available at no charge. After the trial period, continued access requires a paid subscription. Subscription fees, billing cycles, and plan limits are displayed on our pricing page and within the platform.
  • Payments are non-refundable except as required by Indian consumer protection law.
  • If your subscription lapses, your data is retained for 60 days before deletion, giving you time to renew or export.
  • We may change subscription pricing with 30 days written notice by email. Existing subscribers retain their current pricing until their next renewal date after the change takes effect.
  • Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused days.

8. Intellectual Property

All software, UI design, algorithms, AI models, and content on the Truetal platform are the intellectual property of Truetal Technology and are protected under applicable Indian and international copyright, trademark, and trade secret laws.
You may download and retain PDF invoices, GST returns, and other documents generated from your own data. You may not reproduce, publish, or distribute any part of the Truetal platform itself — including screenshots used to represent competing products.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUETAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the platform will be uninterrupted, error-free, or free of viruses. We make reasonable efforts to maintain 99% uptime but do not guarantee it. Scheduled maintenance will be communicated in advance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUETAL TECHNOLOGY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE SUBSCRIPTION FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL TRUETAL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
This limitation applies to claims arising in contract, tort (including negligence), or any other legal theory.

11. Indemnification

You agree to indemnify, defend, and hold harmless Truetal Technology and its principals, employees, and service providers from any claims, losses, liabilities, penalties, or expenses (including legal fees) arising from:
  • Your use of the platform in violation of these Terms.
  • Data you enter into the platform that is inaccurate, unauthorised, or violates any third party's rights.
  • Your violation of any applicable Indian law, including GST law.
  • Any dispute between you and your customers, vendors, or the GST department.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from or related to these Terms will first be addressed through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Pune, Maharashtra.
The language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.
Nothing in this clause prevents either party from seeking urgent injunctive relief from courts of competent jurisdiction in Pune, Maharashtra.

13. Termination

We may suspend or terminate your account immediately without notice if you:
  • Breach any provision of these Terms.
  • Engage in fraudulent, abusive, or illegal activity through the platform.
  • Attempt to compromise the security or integrity of the platform.
You may terminate your account at any time by contacting us at mail@truetal.in. Upon termination, your data will be made available for export for 60 days, then permanently deleted.

14. Modifications to These Terms

We may update these Terms from time to time to reflect changes in law, platform features, or our business practices. When we do, we will update the Effective Date above and notify all registered users by email at least 14 days before the changes take effect.
Continued use of the platform after the effective date of updated Terms constitutes your acceptance of those Terms.
